Miller Heiman Sales Team Makeover

Sponsors: Miller Heiman, Inc., Selling Power Magazine, Hoover’s, Jigsaw Data Corporation

Prizes: In exchange for providing visibility to the process via the Miller Heiman website and Selling Power Magazine (See section 6 below), the winner receives from Miller Heiman a complete Miller Heiman Diagnosis and Implementation, and a sales performance support package to include products and services from Makeover Sponsors  Selling Power magazine, Hoover’s, and Genius.com.
There is no entry fee. No purchase is necessary to enter or win. The application period begins on April 13, 2010 and ends on May 31, 2010, at midnight EST unless such end date is extended by Miller Heiman at its sole discretion (“the Makeover Period”).

1.	Eligibility: The “Miller Heiman Sales Team Makeover” (the “Makeover”) is open to small businesses who meet the following criteria:
1.1.	Validly incorporated in any State of the United States;
1.2.	Active and in good standing under the laws of the State of incorporation;
1.3.	Must be a “Going Concern” as defined in the Generally Accepted Accounting Principles;
1.4.	Must not be in the first year of operations;
1.5.	Annual Revenue of at least $10 million per year;
1.6.	A direct sales force of approximately 10 to 20 people;
1.7.	No Miller Heiman relationship or activity for the past 3 years.
Sponsors and their affiliates, subsidiaries, advertising, promotion, fulfillment or other coordinating agencies, entities providing services to either Sponsor through an outsourcer or temporary employment agency during the Makeover period are not eligible to enter the Makeover. Participation in the Makeover constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules & Regulations (“Official Rules”). VOID WHERE PROHIBITED. 
2.	To Enter: You may enter the Makeover via the Miller Heiman website.  Select the “Enter the Makeover” link from the Miller Heiman website at www.millerheiman.com/makeover during the Makeover Period indicated above.  Fill out the entry form in its entirety, check the box indicating that you have read these Official Rules and agree to them and click on the button to submit the entry electronically.
Companies that are subsidiaries of other entities may enter provided such companies are legally separate entities from their parent companies, operate without using the assets or sales force of their parent companies, and meet the criteria specified above even if such company’s parent company does not meet the criteria. Incomplete entry forms may be rejected at Miller Heiman’s sole discretion.
3.	Selection of Potential Winner. Miller Heiman will select the final Makeover candidate from the pool of eligible entries based on the information submitted through the application form. The final selection of the winning team will be made by Miller Heiman at its sole discretion. The winner will be notified by e-mail and will be named on the Miller Heiman website.
4.	Odds: The odds of winning depend on the total number of eligible entries received. No cash or other substitution of the indicated prize is permitted.   Federal, state and local taxes, if any, and expenses not included in prize descriptions are the sole responsibilities of the winners and prize recipients. 
5.	Notification of Winner: The Makeover prize winner will be notified by e-mail within (5) business days of the determination of the prize winner, and may be required to sign and return a publicity/liability release and authorization to document the process as indicated in Section 6 below, within seven (7) days of notification. If a selected winner cannot be contacted, is ineligible, refuses to sign the authorization to document the process, fails to claim the prize and/or where applicable a publicity/liability release and authorization to document the process is not timely received, is incomplete or modified, the prize may be forfeited and an alternate winner may be selected from remaining valid, eligible entries timely submitted. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the authorized account holder of the e-mail account specified in the entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. 
6.	Process Documentation: If you win the Makeover, Miller Heiman will provide, at no charge, a complete diagnosis and implementation of the Miller Heiman Sales System®. You agree to allow visibility to this diagnosis and implementation process (the “Process”). The process will be shown on the Miller Heiman website and will be described in Selling Power Magazine. Subject to appropriate confidentiality and security restrictions regarding client information, trade secrets, intellectual property rights, product details (where appropriate), pricing, marketing plans, and other similar information, you agree to allow: 
6.1.	Audio and video recordings of meetings and workshops related to the Process
6.2.	Sharing of business metrics before and after implementation of the Process
6.3.	Disclosure of your non-confidential business processes
6.4.	Identification of your CRM platform
6.5.	Your sales personnel to keep journals and/or blogs about their experiences during the process
6.6.	Agree to permit interviews of your sales personnel, sales management and general management by Miller Heiman and Selling Power magazine.  
You understand and agree that all of the information described above may be reproduced in whole or in part by Miller Heiman, on its website or in other publications and/or by Selling Power magazine.  If you win the Makeover, you will be asked to sign an authorization permitting such activities and containing appropriate confidentiality provisions.
7.	General Rules: By entering the Makeover, you agree to be bound by these Official Rules. The Makeover is offered by the Sponsors indicated above, which are not responsible for (i) late, lost, delayed, damaged, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence relating to the Makeover, whether by e-mail or postal mail or otherwise; (ii) theft, destruction, unauthorized access to or alterations of entry materials; or (iii) phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties. 
You further agree to release, indemnify, defend and hold Sponsors and their parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Makeover, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Makeover or acceptance or use of the prize or components thereof. Winners agree to be bound by these Official Rules, and the decisions of the judges are final. 
In no event will Sponsors be liable to you for any direct, special, incidental, exemplary, punitive or consequential damages (including loss of use, data, business or profits) arising out of or in connection with your participation in the Makeover, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not Sponsor has been advised of the possibility of such loss or damage. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you. 
8.	Additional Conditions: Except where prohibited, by participating in the Makeover, entrant consents to the use of the company name, general information, entry and statements attributed to entrant (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor newsletters, Makeover blog, the Makeover website at Sponsor’s homepage at www.millerheiman.com/makeover, without additional compensation. All entries, as applicable, become property of Sponsor and none will be acknowledged or returned. 
Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Makeover in whole or in part, in the event of fraud, technical or other difficulties or if the integrity of the Makeover is compromised, without liability to the entrant. Sponsor reserves the right to disqualify any entrant or winner, as determined by Sponsor, in its sole discretion. Makeover is subject to these Official Rules and all applicable federal, state, and local laws and regulations apply. As stated above, the Makeover is void where prohibited or restricted by law. By participating in this Makeover, you acknowledge that you have read these official Rules and agree to abide by them and by the decisions of Sponsor, which are final and binding on all matters pertaining to the Makeover. These Official Rules are governed by the law of the State of Nevada, without reference to rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this Makeover or these Official Rules must be brought in either the federal courts located in Nevada or the state courts located in Washoe County, Nevada.
